Terms of Service

These Terms of Service ("Terms") govern your use of the VLUM mobile app and the vlum.app website (the "Service"), operated by Sherill Industries ("VLUM," "we," "us"), located in New Haven, Connecticut. By using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 13 years old (or the minimum age of digital consent where you live) to use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to accept these Terms for it.

2. Your account

You are responsible for the activity under your account and for keeping your login secure. Provide accurate information and keep it up to date. You can delete your account at any time in the app.

3. Your content

You retain ownership of the photos, videos, recordings, messages, and other content you add ("Your Content"). You grant VLUM a limited, worldwide, non-exclusive license to host, store, process, reproduce, and display Your Content solely to operate and provide the Service — for example, to gather contributions, build a keepsake, and deliver it to the recipients you choose. This license ends when Your Content is deleted, except for content already shared with recipients or retained as required by law or for backups.

You represent that you have the rights to the content you upload and to share it with the recipients you designate, and that it does not violate any law or third-party rights.

We may remove content or suspend accounts that violate these Terms.

5. Live Mode & location

Live Mode uses your device location to confirm you are at an event and, if you opt in, to notify you on arrival. You are responsible for using Live Mode lawfully and for respecting the privacy of others at the event.

The Service, including its software, design, and the VLUM name and logo, is owned by VLUM and protected by law. These Terms do not grant you any right to our trademarks or branding.

8. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that content will be preserved without loss.

9. Limitation of liability

To the maximum extent permitted by law, VLUM will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising from your use of the Service. Our total liability for any claim will not exceed the greater of the amount you paid us in the 12 months before the claim or USD $50.

10. Indemnification

You agree to indemnify and hold VLUM harmless from claims arising out of Your Content or your use of the Service in violation of these Terms or applicable law.

11. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate access if you violate these Terms or if necessary to protect the Service or its users.

12. Governing law

These Terms are governed by the laws of the State of Connecticut, United States, without regard to its conflict-of-laws rules. Disputes will be resolved in the state and federal courts located in New Haven County, Connecticut, unless otherwise required by applicable law.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date, and where appropriate we will provide additional notice. Continued use after changes take effect means you accept the updated Terms.
